Adani to exit JV with Wilmar in ₹10,874 crore deal

Post the current transaction, Wilmar International will replace Adani as the majority shareholder in AWL Agri Business, with a 64 per cent stake.

Adani Enterprises is exiting its joint venture with the Wilmar Group for a total deal value of ₹10,874 crore, a statement said.
Under the terms of the deal, that was announced today, Adani Enterprises’ arm Adani Commodities Ltd (ACL) will sell a 30.4 per cent stake in the joint venture.
Wilmar will be buying up to a 20 per cent stake, and the residual 10.42 per cent stake will be sold to a set of pre-identified investors, prior to the consummation of the above transactions, the statement said.
Adani Enterprises Ltd in a stock exchange filing said it, ACL and Lence have entered into a share purchase agreement (SPA), under which “Lence has agreed to purchase, and ACL has agreed to sell up to a maximum of 25.99 crore shares representing up to 20 per cent of the issued and paid-up equity share capital of AWL Agri Business Ltd (formerly Adani Wilmar Ltd) held by ACL and not less than 142,964,647 equity shares representing 11 per cent of the issued and paid-up equity share capital of the AWL, at ₹275 a share.
An amount of ₹4,855 crore was already realised earlier in January through an offer for sale by the Adani group.
The transaction was announced in December last year, and in January, Adani had executed a 13.5 per cent offer for sale in AWL Agri Business at ₹275 per share.
